The new legal form, born in the United States, was introduced in Italy by the 2016 Budget Law (Law 208/2015 art1, paragraphs 376-384). The goal of the standard is to encourage the development of companies that, in addition to the purpose of dividing profits, pursue one or more purposes of common benefit and operate responsibly, sustainable and transparent towards people, communities, territories, environment, sporting, cultural, social activities, bodies and associations and in general towards other stakeholders.
According to the law, the management of the Benefit Companies must be oriented to balance the interests of members, with the interest of those on whom social activity may have an impact. A census carried out at the end of 2018, indicated the so-called Italian B-corp in just over 500 Being a benefit company, it cannot be limited to a mere facade or markerting operation, because the commitment to allocate quotas for the social good is precise and significant penalties are envisaged for those who do not comply with the provisions of the legislative decree of August 2, 2007, n ° 145, on the subject of misleading advertising and the provisions of the consumer code referred to in the legislative decree of September 6, 2005, n ° 206.
